Annual Company Maintenance Made Easy

In British Columbia, the Business Corporations Act says that a company is required to keep certain documents at its records office.  That includes the certificate of incorporation, articles of incorporation, central securities register (which is a listing of all of the shareholders), register of directors, and meeting minutes for the company.  If you are the owner of a business, you‘re legally required to ensure that your company’s records are properly prepared and maintained.  The business law team at Westcoast Wills & Estates can help you with that.

There are a number of other requirements that the Act sets out.  Those include that a corporation must file an annual report within two months of each anniversary date of its incorporation, amalgamation, extraprovincial registration, or continuation into B.C.  Also, a company must hold an annual general meeting, or pass resolutions instead of that meeting, within 18 months after its anniversary date.  Again, our company lawyers can work with you to make sure that those dates aren’t missed.
